By accessing or using Skulptor IDE, the skulptor.ai website, or any related services (collectively, the "Services") provided by Solomon Technologies, Inc. ("Skulptor," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

Our content:

The Services, including the software, design, documentation, and branding (excluding open source components), are owned by Solomon Technologies and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without permission.

Open source components:

Skulptor includes open source components licensed under MIT, Apache 2.0, and BSL 1.1. These components are governed by their respective licenses, which can be found in our open source repository.

Feedback:

If you provide suggestions, ideas, or other feedback about the Services, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Services.

Free tier:

Skulptor offers a free tier with limited features. The free tier may be modified or discontinued with 30 days notice.

Paid subscriptions:

Paid plans are billed monthly or annually, as selected at purchase. Payment is processed through our third-party payment provider. You authorize recurring charges to your payment method.

Cancellation:

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.

Price changes:

We may change subscription prices with 30 days notice. Price changes apply at the next billing cycle.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

You acknowledge that AI-generated content may contain errors and should be reviewed before use in production systems.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLOMON TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

You agree to indemnify and hold harmless Solomon Technologies and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

Effect of termination:

Upon termination, your right to use the Services ceases. You may export your data before termination. We will delete your data in accordance with our Privacy Policy.

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Travis County, Texas.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will also send an email notification. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
